CREATOR COLLABORATION AGREEMENT FOR PICEMUP

1. PARTIES

This Agreement governs the relationship between PICEMUP (hereinafter, "PICEMUP" or the "Platform") and any natural or legal person who registers as a creator on the platform (hereinafter, the "Creator"). Registration, access, and use of the platform implies full acceptance of this Agreement.

2. DEFINITIONS

"Content" means any photograph, video, or audiovisual material uploaded by the Creator to the platform. "Client" means any user who acquires a usage license for the Content. "License" means the right of use granted to the Client over the acquired Content. "Service Fee" means the additional amount charged to the Client to cover the technological services provided by PICEMUP. "Merchant of Record" means that PICEMUP acts as the legal seller to the end client in all transactions made through the platform, assuming contractual, tax, and claims management responsibility arising from each sale.

3. OBJECT OF THE AGREEMENT

PICEMUP is a technology platform dedicated to the promotion, commercialization, and digital distribution of audiovisual content.

Through this Agreement, the Creator authorizes PICEMUP to promote, offer, commercialize, and distribute usage licenses for the Content they publish on the platform.

The Creator retains ownership of the intellectual property rights over the Content provided at all times.

4. CONTENT OWNERSHIP

The Creator retains ownership of the intellectual property rights over the Content.

Publishing Content on PICEMUP does not constitute a sale or transfer of intellectual property.

The Creator grants PICEMUP a non-exclusive, worldwide, royalty-free license to host, display, promote, optimize, and commercialize usage licenses for the Content while it remains available on the platform.

5. PLATFORM OPERATION

PICEMUP provides the necessary services for the commercialization of the Content, including catalog management, payment processing, billing, digital delivery, customer service, fraud prevention, and technology maintenance.

PICEMUP may establish, modify, or agree on sale prices when necessary for the proper functioning of the platform.

6. SALES AND COLLECTIONS

PICEMUP acts as the Merchant of Record in all transactions made through the platform. The contractual sales relationship is established between PICEMUP and the end client, not between the Creator and the client.

PICEMUP will manage the billing, digital delivery, and customer service process.

Payments may be processed through Stripe Connect or other payment service providers authorized by PICEMUP.

7. REVENUE DISTRIBUTION

• Public Sessions: the Creator will receive 100% of the Content sale price.

• Private Sessions: the Creator will receive 85%.

• School Sessions: the Creator will receive 80%.

PICEMUP will retain the remaining percentage as consideration for the services provided.

All percentages are calculated on the Content sale price, excluding the Service Fee and taxes.

PICEMUP may modify these percentages with prior notice.

8. SERVICE FEE

The Service Fee constitutes consideration for the services provided by PICEMUP, including payment processing, technology infrastructure, digital storage, file distribution, customer service, fraud prevention, and platform maintenance. The Service Fee belongs entirely to PICEMUP and does not form part of the calculation basis for the Creator's corresponding amounts. The amount of the Service Fee may vary depending on the session type, sale amount, and other operational factors, and will be visible to the client at the time of purchase.

9. SETTLEMENTS AND PAYMENTS

PICEMUP will maintain an internal record of all sales made.

Amounts corresponding to the Creator may be settled automatically through Stripe Connect or equivalent systems.

PICEMUP may make available to the Creator reports, statements, or detailed settlements.

The Creator expressly authorizes PICEMUP to use external payment providers to manage these settlements.

10. CREATOR OBLIGATIONS AND WARRANTIES

The Creator declares and warrants that they hold the necessary rights over the Content provided, have full legal capacity to authorize its commercialization, that the Content does not infringe third-party rights, and that they have the necessary authorizations when legally required.

11. CONTENT RESPONSIBILITY

The Creator will be solely responsible for the Content they publish on the platform.

PICEMUP may withdraw or block any Content it considers unlawful, fraudulent, misleading, offensive, or likely to give rise to legal claims.

12. FISCAL OBLIGATIONS

Each Creator will be responsible for fulfilling their own fiscal, tax, accounting, and administrative obligations arising from amounts received through the platform.

PICEMUP may request identifying, tax, or documentary information when necessary.

13. LIMITATION OF LIABILITY

PICEMUP does not guarantee a minimum number of sales or minimum income for the Creator.

PICEMUP will not be liable for indirect losses, loss of profits, or interruptions arising from technical incidents, third-party actions, or force majeure situations.

14. DURATION AND TERMINATION

This Agreement shall have an indefinite duration.

The Creator may stop using the platform at any time.

PICEMUP may suspend or cancel accounts for breach, fraudulent activity, violation of third-party rights, or legal or reputational risk.

15. MODIFICATIONS

PICEMUP may modify this Agreement to adapt it to legal, regulatory, technological, or business changes. Modifications will be published on the platform.

16. APPLICABLE LAW AND JURISDICTION

This Agreement shall be governed by Spanish law.

Any dispute arising from this Agreement shall be submitted to the Courts and Tribunals of San Sebastián, unless a mandatory rule provides otherwise.
