2. PURPOSE

These Terms and Conditions govern the acquisition of usage licenses over audiovisual content available through the PICEMUP platform.

Making a purchase implies express and unreserved acceptance of these Terms and Conditions.

3. DEFINITIONS

For the purposes of these Terms:

• "Content" means any photograph, video, or audiovisual material available on the platform.

• "Creator" means the author or holder of rights over the Content.

• "Client" means any person who acquires a usage license over the Content.

• "License" means the right of use granted to the Client under these Terms.

4. NATURE OF THE SERVICE

PICEMUP is a technology platform dedicated to the commercialization and digital distribution of audiovisual content.

PICEMUP manages the sales, billing, digital delivery, and customer service process associated with licenses acquired through the platform.

Creators retain ownership of the intellectual property rights over the published Content.

A purchase made through PICEMUP grants the Client a usage license over the Content, but does not constitute the acquisition of intellectual property rights over it.

5. PURCHASE PROCESS

To acquire a usage license over the Content, the Client must:

• Select the desired Content.

• Correctly complete the payment process.

• Expressly accept these Terms and Conditions.

Once payment is confirmed, the Client may access and download the acquired Content in accordance with the granted license.

6. CONTENT USAGE LICENSE

6.1 Nature of the license

The license granted to the Client is:

• Non-exclusive.

• Non-transferable.

• Worldwide in scope.

• Unlimited in time.

• Intended exclusively for personal and non-commercial use.

6.2 Permitted uses

The Client may:

• Download and store the Content.

• Share it on personal social media profiles.

• Send it to family and friends for private purposes.

• Print photographs for personal use.

• Keep the Content as a personal memento.

6.3 Prohibited uses

It is expressly prohibited to:

• Use the Content for commercial, advertising, or promotional purposes.

• Incorporate the Content into business or professional activities.

• Resell, sublicense, or redistribute the Content.

• Include the Content in products intended for sale.

• Substantially alter the Content without authorization from the rights holder.

• Remove watermarks, metadata, or credits.

Any other use will require express written authorization from the rights holder.

7. PRICE AND PAYMENT

The price of each license will be that shown on the platform at the time of purchase.

Additionally, PICEMUP may apply a Service Fee intended to cover:

• Secure payment processing.

• Technology infrastructure.

• Digital storage and distribution.

• Customer support.

• Fraud prevention.

• Platform maintenance and development.

The total amount to be paid will be shown to the Client before confirming the purchase.

Payments will be made through the payment methods enabled on the platform.

8. DIGITAL DELIVERY

Once payment is confirmed, the Client will obtain access to the acquired Content via digital download or any other system enabled by PICEMUP.

PICEMUP will make reasonable efforts to ensure service availability, without guaranteeing the absolute absence of technical interruptions.

9. RETURNS AND RIGHT OF WITHDRAWAL

In accordance with applicable consumer and user regulations, the right of withdrawal will not apply once the execution of the supply of digital content not provided on a tangible medium has begun.

By completing the purchase, the Client:

• Expressly requests the immediate commencement of the service.

• Accepts immediate access to the acquired digital Content.

• Acknowledges that they lose their right of withdrawal once the download or access to the Content has begun.

10. REFUNDS AND PAYMENT DISPUTES

PICEMUP may investigate and resolve incidents related to payments, fraud, returns, or claims made by financial institutions or payment providers.

In the event of fraud, misuse of the platform, or breach of these Terms, PICEMUP may suspend access to the acquired Content.

11. CLIENT RESPONSIBILITY

The Client will be solely responsible for the use they make of the acquired Content.

The Client undertakes to respect the intellectual property rights associated with the Content.

12. PICEMUP'S LIABILITY

PICEMUP does not guarantee the suitability of the Content for the Client's specific needs or any particular results from its use.

PICEMUP will not be liable for indirect damages, loss of profits, or harm arising from the Client's misuse of the Content.

13. INTELLECTUAL PROPERTY

All intellectual property rights over the Content belong to their respective Creators.

Acquiring a usage license does not imply the transfer of intellectual property rights to the Client.

14. MODIFICATION OF TERMS

PICEMUP may modify these Terms and Conditions to adapt them to legal, regulatory, or business changes. Modifications will not affect purchases made prior to their entry into force.

15. APPLICABLE LAW AND JURISDICTION

These Terms and Conditions will be governed by Spanish law.

In the event of a dispute, the parties will submit to the Courts and Tribunals that are competent pursuant to consumer and user protection regulations.
